Terms of Service

These Terms of Service are an agreement between you and Vertum LLC, a Texas limited liability company doing business as BillMile ("BillMile", "we", "us"), located at 5900 Balcones Dr Ste 100, Austin, TX 78731. BillMile is a registered trade name of Vertum LLC; the two are the same legal entity.

By interacting with the BillMile platform via the WhatsApp Business API and providing your express consent, you (the "Carrier", "Owner-Operator", or "User") agree to be bound by these Terms of Service. BillMile is a WhatsApp-first document preparation tool for owner-operators and carriers, and some features may be offered in beta or early-access form while the workflow is still improving.

1. Nature of Service and Disclaimers

BillMile is a software service that helps organize freight paperwork, extract relevant billing data, and prepare invoice or evidence PDFs.

2. User Review and Approval

BillMile may use AI-assisted extraction to read RateCons, PODs, receipts, and related documents. Because automated extraction can be wrong, the product is designed around user confirmation before a final PDF is generated.

3. No Legal or Financial Advisory Role

BillMile can prepare structured documentation that may help with detention, OS&D, or invoice follow-up, but it does not provide legal advice, insurance advice, or claims representation.

4. Communications Consent

By using the service through WhatsApp, users consent to receive transactional and operational messages related to document intake, invoice preparation, support, and account management. Users can turn off all BillMile WhatsApp messages, including human support, by contacting support or sending STOP, UNSUBSCRIBE, OPT OUT, DAR DE BAJA, or BAJA. Send START to resume.

5. Credits and Payment

BillMile is sold in credits. One credit covers one load, no matter how many documents that load takes. A load that produces both an invoice and an OS&D evidence package still costs one credit, and a correction or a regenerated version of the same load is never charged again.

6. Acceptable Use and Termination

You may only prepare paperwork for a carrier whose operating authority you actually hold or are authorized to bill for. Billing under someone else's MC or USDOT number is the abuse this product is built to stop, and it is grounds for immediate termination.

We may suspend or close an account for fraud, abuse, non-payment, or use that puts other users at risk. You can close your account at any time.

7. Warranties, Responsibility and Limits

Users agree to use the service in compliance with applicable law and their own commercial agreements.

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. BillMile is beta software. We do not warrant that automated extraction will be accurate, or that any document we prepare will be accepted or paid by any broker, shipper, or factoring company.

To the maximum extent permitted by law, BillMile is not liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost revenue, or payments delayed or refused by a broker or other payer. Our total liability for all claims arising in any twelve-month period will not exceed the greater of the amount you paid us for credits in that period, or one hundred U.S. dollars.

You are responsible for reviewing the amounts and details before you approve a document, as described in section 2. Nothing in these Terms limits any liability that cannot be limited under applicable law, including under the Texas Deceptive Trade Practices–Consumer Protection Act.

8. Dispatch Agencies and Authority

If you are a dispatch agency, you represent that the carrier whose loads you submit has authorized you to act for it — including to send that carrier’s freight documents to BillMile, to confirm amounts on its behalf, and to receive the finished invoice or evidence package. If you are a carrier, you authorize each dispatch agency you name to do those things until you tell us otherwise.

The documents you upload routinely contain personal information about people who are not our users: broker staff, shippers, consignees, and drivers. You represent that you have the right to give us those documents so we can prepare your paperwork, and you agree to indemnify BillMile against third-party claims arising from personal information contained in documents you or your dispatch agency submitted.

9. Disputes: Arbitration and Class Action Waiver

Please read this section carefully. It changes how disputes between us are resolved, and it limits how they can be brought.

Talk to us first. Before starting arbitration, you agree to email support@billmile.com describing the dispute and to give us 30 days to resolve it.

Arbitration. Any dispute arising out of or relating to these Terms or the service that is not resolved that way will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in Travis County, Texas. Judgment on the award may be entered by any court with jurisdiction.

This agreement to arbitrate is governed by the Federal Arbitration Act. To the extent the Federal Arbitration Act is held not to apply for any reason, it is governed instead by the Texas Arbitration Act, and to the extent that Act is also held not to apply, by Texas common law governing arbitration agreements.

Class action waiver. You and BillMile each agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. This waiver is a separate and independent agreement. It applies whether a dispute is heard in arbitration or in court, and it survives even if the agreement to arbitrate above is held unenforceable in whole or in part.

Exceptions. Either of us may bring an individual claim in small claims court, and either of us may ask a court for an injunction to protect intellectual property or to stop unauthorized access to the service.

You can opt out. You may opt out of the agreement to arbitrate by emailing support@billmile.com with the subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms. Opting out costs you nothing and does not affect any other part of these Terms.

Nothing in this section limits a right that cannot be waived under applicable law, including under the Texas Deceptive Trade Practices–Consumer Protection Act.

10. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws rules. Subject to the arbitration agreement in section 9, any dispute arising out of or relating to these Terms or the service will be brought exclusively in the state or federal courts located in Travis County, Texas, and each of us consents to personal jurisdiction there.

11. General

Severability. If any provision of these Terms is held unenforceable, it will be limited or removed to the minimum extent necessary and everything else stays in force. Specifically: if the class action waiver in section 9 is held unenforceable as to a particular claim, that claim is severed and heard in the courts named in section 10, and the rest of section 9 continues to apply to every other claim.

Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate, or in connection with a merger, acquisition or sale of assets.

Entire agreement. These Terms and the Privacy Notice are the whole agreement between you and BillMile about the service.

No waiver. If we do not enforce a provision right away, that is not a waiver of our right to enforce it later.

12. Changes to These Terms

We may update these Terms as the product changes. The date below is the effective date of the current version. Material changes will be announced in the BillMile chat, and continuing to use the service after that means you accept the updated Terms.

13. Original Language

These Terms are published in English and Spanish. If the two versions differ, the English version governs.
